Job Description

Position Summary: The Contracts Administrator will be a key member of our legal team, responsible for the full lifecycle management of contracts for Pyx Health. This role will report directly to the Chief Legal Officer and will play a critical part in ensuring the efficient, accurate, and compliant administration of all agreements, supporting our business objectives while mitigating risk. The ideal candidate will possess a strong understanding of contract principles, exceptional organizational skills, and a keen eye for detail, with experience in the healthcare technology sector being highly desirable. *This role will be in accordance with Mountain Standard Time.*

Key Responsibilities:

  • Contract Lifecycle Management: Manage the entire contract lifecycle from request to execution and renewal/termination, including support with drafting, reviewing, negotiating, redlining, tracking, and archiving various types of agreements.
  • Drafting and Review: Prepare, review, and revise a wide range of contracts, including but not limited to:
    • Software licensing agreements (SaaS)
    • Master Service Agreements (MSAs)
    • Business Associate Agreements (BAAs)
    • Non-Disclosure Agreements (NDAs)
    • Vendor agreements
    • Partnership agreements
    • Consulting agreements
    • Data sharing agreements
  • Negotiation Support: Assist the legal team and business stakeholders in contract negotiations, focusing on legal terms, business terms, and risk mitigation.
  • Compliance: Ensure all contracts adhere to company policies, legal requirements, and industry regulations, particularly those relevant to healthcare (e.g., HIPAA, TCPA, state-specific regulations).
  • Contract Database Management: Maintain and update the company's contract management system (CMS) with accurate and up-to-date information, including key dates, terms, and obligations.
  • Process Improvement: Identify and implement improvements to contract administration processes and procedures to enhance efficiency, accuracy, and compliance.
  • Stakeholder Collaboration: Collaborate effectively with internal departments, including Sales, Product, Finance, Operations, and IT, to facilitate contract execution and address contractual queries.
  • Reporting: Generate reports on contract status, upcoming renewals, and other relevant metrics as requested by the CLO or other stakeholders.
  • Training & Guidance: Provide guidance and training to internal teams on contract processes, policies, and best practices.
  • Dispute Resolution Support: Assist the legal team in gathering information and documentation related to contract disputes or inquiries.
  • Ad Hoc Projects: Undertake other duties and projects as assigned by the CLO.

Qualifications:

  • Education: Bachelor's degree
  • Experience:
    • Minimum of 5 years of progressive experience in contracts administration, preferably within a fast-paced environment.
    • Required: Demonstrated experience with contracts specific to the healthcare technology industry (e.g., SaaS, BAA, HIPAA compliance).
    • Experience working with a contract lifecycle management (CLM) system is highly preferred.
  • Skills:
    • Excellent written and verbal communication skills, with the ability to draft clear, concise, and legally sound documents.
    • Strong analytical and problem-solving abilities, with meticulous attention to detail.
    • Exceptional organizational and time management skills, with the ability to prioritize and manage multiple projects simultaneously in a deadline-driven environment.
    • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and experience with contract management software.
    • Ability to work independently and as part of a team, with a high degree of professionalism and integrity.
    • Demonstrated understanding of legal terminology and contract law principles.
    • Ability to handle confidential information with discretion.

Preferred Qualifications:

  • Paralegal certificate or equivalent experience.
  • Familiarity with relevant healthcare regulations (e.g., HIPAA, CCPA if applicable to data processing).
  • Experience in a high-growth startup or scale-up environment.
